1. About these Terms
These Terms & Conditions ("Terms") govern your access to and use of the services provided by Dessant ("Dessant", "we", "us", or "our") through the website at dessantgateway.com (the "Site") and related communications. By submitting the sign-up form, making a deposit, or otherwise engaging our services, you agree to these Terms.
2. Definitions
- Services — facilitation of access to vehicle auctions (including Copart, IAAI, Manheim, and, via representative, ACV and ADESA), bidding on your behalf, and coordination of related logistics.
- Client — the individual or company that registers for or uses the Services.
- Deposit — the refundable amount held to set your bidding limit and secure your obligations, as described in Section 5.
- Lot — a vehicle listed at auction.
3. The Services
Dessant provides brokerage and facilitation services that allow Clients to bid on and purchase vehicles at US auctions without holding a dealer license or US address. Depending on the plan or service level selected, Dessant may place bids on your instruction, source and evaluate vehicles, and coordinate transport and export documentation. Dessant does not own the vehicles offered at auction and acts as a facilitator between you and the auction houses.
4. Eligibility & Account
You must be at least 18 years old and able to enter into a binding contract. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for activity conducted through your account or on your instruction.
5. Fees, Deposits & Payments
Membership fees, per-vehicle fees, and service levels are as published on the Site at the time of purchase. A refundable Deposit is required before bidding begins; it sets your auction bidding limit and is held as security, not applied toward the vehicle purchase price.
5.1 Refunds & forfeiture
If you engage the team but do not proceed with a purchase, a forfeiture may apply as published in the pricing terms (for example, the greater of a flat amount or a percentage of the Deposit), with the remainder returned. The specific figures are set out on the Site and in your engagement confirmation. [Confirm exact figures with counsel.]
5.2 Amounts billed separately
The following are not included in service fees and are billed separately: the vehicle purchase price (paid to the auction), auction buyer's fees, transportation and logistics, title processing, and export documentation.
Payments are processed by third-party providers (for example, Stripe). Dessant does not store full card details.
6. Bidding & Purchases
Bids placed at auction are binding once accepted by the auction house, in accordance with that auction's rules. You are responsible for confirming lot details, condition reports, and your intended maximum bid. Vehicles are typically sold "as is, where is" by the auctions; Dessant makes no representation or warranty as to the condition, history, mileage, title status, or fitness of any vehicle.
7. Logistics & Export
Where Dessant coordinates transport, title, or export, it does so as a facilitator. Timelines, costs, and availability depend on third parties and destination requirements, and are estimates unless confirmed in writing.
8. Disclaimers
The Services and Site are provided on an "as available" basis. To the maximum extent permitted by law, Dessant disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Dessant's total liability arising out of or relating to the Services shall not exceed the fees paid by you to Dessant for the specific transaction giving rise to the claim. Dessant is not liable for indirect, incidental, or consequential damages, or for the acts of auction houses, transporters, or other third parties.
10. Indemnification
You agree to indemnify and hold harmless Dessant from claims, losses, and expenses arising from your use of the Services, your bids and purchases, or your breach of these Terms.
11. Governing Law
These Terms are governed by the laws of [Massachusetts, USA — confirm jurisdiction with counsel], without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts located there.
12. Changes
